Terms of the deal  

1. Definitions  

In the terms of this transaction:  

"Customer" means an individual, legal person or other organization that purchases products from us by placing orders or by other means approved by us;  

"Contract" means the contract entered into between Our Company and the Customer for the supply of products and/or the provision of services, of which the terms of this transaction form an integral part;  

"Products" means goods or services supplied by us or to be supplied to customers;  

"Order" means an offer to purchase products made by customers through our online customer service telephone, email, our online purchase platform and other means approved by us.  

"In writing" includes electronic communications, such as facsimile, E-mail, etc.  

2. The general  

All orders will be accepted by us in accordance with the terms of this transaction.  The contract will come into force when we receive the full payment or deposit from the customer.  The customer acknowledges that these terms of delivery and our User Agreement have been fully understood and accepted by the customer prior to the formation of the relevant contract.  The terms of this transaction supersede any other terms previously appearing elsewhere;  And the Terms of this Transaction negate and exclude any other terms stipulated, included or referred to by the Customer in the order or in the negotiation or transaction with us, unless specifically agreed in writing in the company documents by our authorized signatory;  The contract issued by our company and the terms of this transaction constitute the entire and only consensus and agreement between our company and the customer regarding the service or sale or repair of the products.  

We reserve the right to amend the terms of this Transaction at any time without prior notice, all instructions and illustrations contained in any quotation, delivery dates or other materials communicated to the Customer are intended only to provide an overview, and none of the material contained in any such material constitutes the contract between us and the Customer,  The content contained in the above materials is only an invitation for offer issued by our company to the customer, not an appointment.  We can correct the printing errors, writing errors or other errors in quotation, price list, order confirmation, invoice or other documents and data issued by them, and the corrected documents shall prevail.  

3. Product and price  

The price of the product is calculated in RMB and USD, and the RMB price includes VAT.  

If no period has been determined, the RFQ price will remain valid for 30 days.  

We make every reasonable effort to provide up-to-date and accurate product and price information, but make no warranty as to the accuracy of prices or such information.  Product information is subject to change without prior notice.  Prices are subject to change from time to time before we agree to accept orders from customers.  

After confirming the customers order, we reserve the right to change the confirmed price if we believe that the exchange rate between RMB and USD fluctuates significantly and/or the original price is adjusted, and/or other uncontrollable factors cause the price change.  

In the event of any material error in the product description or its supply information, and such error will affect the customers order pending shipment or pricing error, we will notify the customer of such correction;  At that time, customers can choose to accept the corrected product introduction, availability or pricing, or cancel the order.  

Where products are provided in installments (referred to in the terms of this Transaction as "installments"), the price of products delivered within 90 days of the date of order shall be the price applicable at the time of shipment of the first batch of products.  If instalments are likely to continue beyond 90 days or more after the date of order, we reserve the right to increase the price applicable at the date of shipment of the said lot.  

According to national Customs regulations:  

Integrated circuits (IC) are exempt from import duty  

Non-integrated circuit components (such as relays, bandpass filters, attenuators, modules, cables, etc.) may be subject to additional tariffs of 3%-12%  

Switches, fuses, gas discharge tubes, etc., require commodity inspection and 3C certification fees  

If the order you submitted contains any models that need to pay customs duty or other customs declaration fees, our customer service staff will inform you immediately and inform you of the related matters of payment supplement.  

4.  We reserve the right to refuse to proceed with the transaction.  Once accepted, the Customer is obligated to complete the transaction with us, except for transactions prohibited by law or this User Agreement, and no order may be cancelled without our written consent.  

5. Payment  

If customers choose online payment, they must complete the payment within 24 hours after submitting the order, and if they choose transfer, they must complete the remittance within 72 hours after submitting the order.  

If the customer fails to make payment on the due date, without prejudice to any other rights or remedies, we shall be entitled to do as follows  

(1) Cancel the order or suspend any further delivery or performance;  

(2) Require immediate payment in full, even if the payments are due later;  

(3) Ask the customer to pay the expenses incurred by our company in preparing or storing the goods;  

(4) Charge the customer interest on the outstanding amount (just before and after the judgment) at an annual rate of 5% above the benchmark rate published by the Peoples Bank of China from time to time until payment is made in full  

(For the date on which interest is calculated, less than one month is regarded as a full month).  

(5) Require the customer to pay any or all costs (including but not limited to litigation costs) incurred by us to recover the payment. We reserve the right to claim further damages from the customer for our loss  

The right.  

6. Delivery and distribution  

You can get free shipping on orders over 99 yuan.  For orders with total price less than 99 yuan, 10 yuan freight and packing fee will be charged for each order.  

If the total amount of products is less than 200RMB after the discount, 12RMB shipping fee will be charged for invoicing, and the express company will be designated by our company.  

Integrated circuit (IC) materials are exempt from international freight, but for some large volume, high weight of non-integrated circuit or the total weight of more than 1Kg components (such as fans, cables, connectors, modules, etc.), customers need to pay additional international freight.  

The delivery date shall be subject to the standard delivery date specified in our contract. If the delivery date is delayed due to original reasons and/or unexpected circumstances beyond our control, our company shall not be liable to the customer, and the customer shall not cancel the order accordingly.  In case of delayed receipt of goods and/or other risks caused by the customer, the consequences shall be borne by the customer.  

If the customer does not explicitly agree on the delivery date or delivery period, the product will be delivered when it is ready and we do not guarantee when the product will be ready.  If the customer not according to the agreed date and to receive the product, or without clear delivery date and/or delivery is not in the product prepared within 10 days after receiving the product, our company has the right to choose their think is the most appropriate way to deliver products, and bear the risks and costs by the customer, and do not damage our company of any other right or remedy.  

7. Inspection, defects and non-delivery  

After we delivery, the customer must confirm receipt and as much as possible in a reasonable amount of time testing products, if the product in a reasonable inspection found significant flaws and not its purpose, or in connection with the order listed product type, specification, or quantity discrepancy, or any other customers are related to the product, should be within one week after the date of delivery to give us a detailed written notice and the attached delivery order.  In the absence of such notice by the Customer, the Products shall be ultimately deemed to be in full compliance with the Contract by all parties and free from any defects that can be found by reasonable examination, and the Customer shall therefore be deemed to have accepted the Products in full.  

If the customer receives a damaged package, the customer shall photograph the package to confirm the damage and notify us immediately before opening the package.  

In the event that the customer can fully prove to our reasonable satisfaction that the products are not in conformity with the contract or are defective, we shall have the right, at our discretion, to replace the products, reissue the products or refund the price already paid for such products within a reasonable period of time.  

8. Risk and ownership  

The risk of damage or loss of the goods will pass to the Customer when the goods are unloaded from our carrier to the Customers premises.  Our company will not be responsible for any damage or loss of the products after delivery.  Ownership of the goods will not pass to the Customer until we have fully received the full amount due to us from the Customer in any account and the products are delivered and signed for confirmation by the Customer.  

9. Return and exchange of goods  

Customer shall not return any goods unless prior consent is obtained from us.  All returned goods shall be returned at the customers own risk and expense and shall be undamaged by the Customer and in their original packaging.  The customer is responsible for returning the goods to us and providing proof of delivery for such return.  Appropriate precautions must be taken for goods classified as "electrostatic sensitive".  

All goods accepted for return should be returned to us within one week of delivery.  

We reserve the right to charge, at our discretion, a restocking fee of 40% of the invoice value of any item returned as "unwanted" or "misordered" (a minimum fee of RMB100).  

We expressly reserve the right to refuse to cancel or return the following goods  

(1) The products are not sold and shipped by our company;  

(2) The original packaging and labels are damaged and missing;  

(3) If the delivery time is longer than a week, the delivery date shall prevail;  

(4) I lost the invoice;  

(5) The product has been used by customers, except for inherent defects;  

 Quality problems include but are not limited to accidents, abuse, unreasonable use, incorrect use, power problems, use and/or storage and/or installation of the product without following the product instructions,  

Failure to perform required preventive maintenance, normal wear and tear, natural disaster, fire, flood, war, act of violence or any similar event;  People who are not our staff or authorized by us  

Commissioning, repair or support of products, processing or resale of products, and problems caused by the use of parts not supplied by us.  

If we receive any products that are not sold or shipped by them, we will immediately inspect, dispose of and destroy them.  For products returned to us by the Customer, the Customer certifies that the returned products were purchased from us and have not been replaced in whole or in part with identical or similar products from other manufacturers, manufacturers, suppliers, distributors or other channels of the same or similar products.  

10. Import and export restrictions  

The goods may be subject to import and export control laws, restrictions, regulations and orders in China and the countries of possible origin of the goods.  Customer agrees to abide by all of Chinas and other foreign agencies or authorities should apply to the import and export laws, restrictions, and the example, and should not be for the purpose of re-export to any prohibited or the country of the embargo, or by China or other countries laws enacted by the rejection, block, or a list of the individual or organization or transfer of goods for export.  The customer shall obtain, at its own cost, any licenses and comply with any applicable import and export regulations in China and in the countries to which the goods are sold.  We reserve the right to refuse to supply to specific customers or countries and to request full details of the end-use and final destination of the goods.  

11. Application restrictions  

Customers are strictly prohibited under any circumstances from using the products in anti-personnel mines or for any purpose related to biological, chemical or nuclear weapons or the missiles used to deliver such weapons.  

The products shall not be used in space or aviation vehicles or other air transport applications, life support or supply equipment, surgical transplant equipment or any other use which, if the goods fail, would reasonably be believed to result in personal injury, death, environmental damage or serious damage to property.  It is also strictly prohibited to use or add any products to such devices, systems or applications.  To the maximum extent permitted by law, we shall not be liable for any loss or damage arising directly or indirectly from the use of the products for such purposes.  

If customer uses or sells the Product in any of these prohibited areas and uses, then  

(1) The Customer confirms that the Customer shall bear the risk of such use or sale;  

(2) The Customer agrees that we and the Manufacturer shall not be wholly or partially liable for any claim or damage arising out of such use;  

(3) The Customer agrees to indemnify us and its manufacturer for any and all losses, liabilities and expenses (including legal and other costs) incurred in connection with such addition or use, even if such losses are attributable to  

Design or manufacturing defects.  

12. Force Majeure  

If we delay in performance or non-performance of any obligation under this condition is due to any cause beyond our reasonable control (including but not limited to government action, fire, war, extensive epidemic disease, explosions, floods, severe weather, import and export controls or embargo, labor dispute, cannot get goods or labor supply, etc.),  We shall not be liable to the Customer in any way for such delay or failure to perform or be deemed to be in breach of contract.  

If our performance of the Contract is prevented due to the above reasons, we may, at our sole discretion, delay or cancel all or part of the Contract and shall not be liable for such delay, cancellation or any non-delivery.  

13. Age requirements for certain items  

If the law sets a minimum age for the purchase of a particular item, the customer confirms that he/she meets the age requirement and that the item will be accepted for delivery by an individual who meets the relevant age requirement.  

14. Modify  

Unless otherwise agreed in writing, amendments or changes to the contract must be made in writing and signed and/or stamped with a statutory seal of authorization.  

15. Governing law and jurisdiction  

These terms and all contracts between us and the customer shall be governed by and construed in accordance with the laws of the Peoples Republic of China.  Customer must ensure compliance with all provisions of this User Agreement and privacy Statement and all other terms and rules incorporated in such Agreement.  Any dispute arising from or in connection with the contract shall be settled by both parties through friendly negotiation.  If the dispute cannot be settled in such a manner within thirty (30) days, either party shall have the right to submit the dispute to the competent peoples court at the place of incorporation or of business of the Company, without prejudice to the Companys right to choose the place of incorporation or of business of the customer or any other court of competent jurisdiction.
