AMD completes its acquisition of Xilinx

AMD (Nasdaq: AMD) today announced the completion of the acquisition of Xilinx through an all-stock Transaction.  The acquisition, announced on October 27, 2020, creates an industry leader in high-performance and adaptive computing with significantly increased scale and a leading portfolio of computing, graphics and adaptive soCs.  AMD expects the acquisition to be accretive to non-GAAP margins, non-GAAP earnings per share and free cash flow in the first year.

Dr Lisa Su, AMD president and chief executive officer, said: "The acquisition of Syrynx brings together a highly complementary set of products, customers and markets, as well as differentiated IP and world-class talent to build us into an industry leader in high-performance and adaptive computing.  "Our leading FPgas, adaptive soCs, artificial intelligence engines and software expertise will empower AMD to deliver an exceptional portfolio of high performance and adaptive computing solutions and help us capture a larger share of the estimated $135 billion cloud, edge computing and smart devices market opportunity."  

 

Victor Peng, former CEO of Selynx, will join AMD as president of the newly formed Adaptive and Embedded Computing Group (AECG).  AECG remains focused on driving leading FPGA, adaptive SoC and software roadmap.  With the establishment of the new business unit, the company will further expand its scale and be able to offer a range of extended solutions including AMD CPUS and Gpus.  

 

"The rapidly evolving data-intensive applications of connected devices and embedded AI are driving the growing demand for efficient and adaptive HIGH-PERFORMANCE computing solutions," said Victor Peng.  "The combination of AMD and Silas will accelerate our ability to define a new era of computing by providing a very comprehensive portfolio of adaptive computing platforms to power a wide range of intelligent applications."  

 

Upon completion of the acquisition, Silas shareholders will receive 1.7234 shares of AMD common stock for each Share of Silas common stock.  Silas common stock will no longer be traded on the NASDAQ Stock Market.
